1. INTRODUCTION
These Terms of Use (“Terms”) govern the relationship between MORVEX CORPORATION LIMITED (“we,” “us,” “our,” or the “Company”) and you (“User,” “you,” or “your”) when you access or purchase digital PDF courses through our website omnislearn.com (collectively, the “Services”).

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. ELIGIBILITY
You must be at least 18 years old to create an account or purchase courses on omnislearn.com. Our Services are intended for adults only: people under 18 may not register, purchase courses or use the Services, including with the consent of a parent or guardian. This is consistent with Section 12 of our Privacy Policy. You must provide accurate and complete registration information and maintain the security of your account credentials.
3. SERVICES DESCRIPTION
omnislearn.com provides educational courses in PDF format available for purchase and immediate digital download. All courses are digital products supplied electronically. No physical materials are provided.
4. PURCHASES AND PAYMENT
4.1 Pricing
Course prices are displayed in Euro (EUR) by default; US Dollars (USD) can be selected with the currency switcher in the site header. Prices are inclusive of applicable taxes where required. We reserve the right to amend pricing at any time with reasonable prior notice.
You are charged in the currency in which your order total is shown at checkout: in EUR, or in USD if you have selected USD. Your order is passed to the payment page in that currency and for that amount. USD prices are calculated from our EUR prices at the European Central Bank euro reference exchange rate, updated once a day, and rounded to the nearest cent, without any mark-up, and we charge no additional fee for paying in USD. Before you place your order, the checkout shows the amount and the currency you will be charged and, for orders in USD, the amount in EUR and the exchange rate used.
If your card account is held in a different currency from the one you are charged in, your bank or card issuer may convert the amount at its own exchange rate and may charge a currency-conversion fee. Those charges are set by your issuer, not by us. MAKE SURE YOU UNDERSTAND THE COSTS OF CURRENCY CONVERSION AS THEY MAY BE DIFFERENT DEPENDING ON WHETHER YOU SELECT YOUR HOME CURRENCY OR THE TRANSACTION CURRENCY.
4.2 Payment Processing
Payments are processed through authorised third-party payment processors. MORVEX CORPORATION LIMITED does not store your payment card details.
4.3 Order Confirmation
Your purchase is complete once your payment is confirmed. The download links for your courses are then shown on the order confirmation page and, if you have an account, in My Account > Downloads. If you cannot find or open your links, contact us at info@omnislearn.com and we will send them to you.
4.4 Taxes
Prices are inclusive of applicable taxes where required. Customers are responsible for any local taxes or duties applicable in their jurisdiction.
4.5 Chargebacks and Payment Disputes
If you have a concern about a charge, we encourage you to contact us first at info@omnislearn.com — most issues (failed downloads, billing errors, duplicate charges) are resolved within 1–2 business days. Contacting us first is optional, not a requirement: it does not restrict your right to dispute a payment or request a chargeback directly with your bank or card issuer at any time. Where a chargeback is opened against a validly delivered order, MORVEX CORPORATION LIMITED may submit evidence to the card issuer (order confirmation, download and access logs, IP address and correspondence) in response. Fraudulent chargebacks (for example, disputing an order you placed and received) may result in suspension of your account and may be reported to card-scheme dispute-prevention services.
5. ACCESS TO DIGITAL CONTENT
5.1 Delivery
PDF courses are made available immediately upon payment confirmation: the download links appear on the order confirmation page and, if you have an account, in My Account > Downloads. The number of downloads is not limited and the links do not expire, so you may re-download your purchased courses at any time while you have access under Section 5.3. We recommend saving a personal backup copy upon download. If your payment has been confirmed but a course does not appear or a link does not work, contact us at info@omnislearn.com and we will make it available within 1–2 business days.
5.2 Unavailable Courses and Delays
Every course offered for sale is intended to be available for download immediately. If a course cannot be downloaded at the time of purchase, our checkout tells you so and does not accept an order for it. If we ever offer a course with a later delivery date, we will tell you the expected delivery date before you pay and will only complete the order if you agree to that date. If delivery is then delayed beyond the date we gave you, we will notify you of the revised delivery date and you may cancel the order and receive a full refund. If we cannot supply a course you have paid for, we will refund you in full.
5.3 How Long You Keep Access
Your licence to use a course you have bought does not expire (see our Licence Agreement). You can lose access to a purchased course only in the following cases: (a) you ask us to close your account — courses can then no longer be downloaded from My Account, so please download and keep copies first; (b) we close your account under Section 13 because of a serious breach of these Terms or the Licence Agreement, such as sharing or reselling course content, or because of fraud; or (c) the order for that course is cancelled and refunded, or the payment is reversed through a chargeback. If we ever have to stop providing downloads for any other reason, for example because a course is withdrawn from sale, we will give you reasonable notice so that you can download your copies, and your licence to use them continues. Closing an account does not affect your statutory rights.
6. CANCELLATION AND REFUNDS
Please refer to our Refund and Return Policy for full details. In summary, you may cancel your order and receive a full refund within 14 days of purchase provided the PDF course has not been accessed or downloaded, in accordance with the Consumer Contracts Regulations 2013. This applies equally to courses bought at a discounted or promotional price. Before you place an order, our checkout asks you to tick a box to request immediate access to your courses and to acknowledge that you will lose your right to cancel once you access or download them; the box is not ticked in advance, an order cannot be placed without it, and your confirmation is recorded with your order. Once the PDF has been accessed or downloaded, the right to cancel is extinguished. Your statutory rights under the Consumer Rights Act 2015 in respect of defective or misdescribed digital content remain unaffected.
7. INTELLECTUAL PROPERTY
All course content, including PDF documents, text, graphics, and associated materials, is the exclusive intellectual property of MORVEX CORPORATION LIMITED or its licensed content providers and is protected by UK and international copyright law. Upon purchase, you are granted a limited, non-exclusive, non-transferable, personal licence to access and use the course content for your own personal, non-commercial learning purposes only. You may not reproduce, redistribute, resell, share, publish, or make available any course content to any third party in any form. Unauthorised use of our content may result in legal action.
8. USER RESPONSIBILITIES
You are solely responsible for maintaining the security of your account and login credentials; ensuring your use of course content complies with these Terms and applicable law; not sharing, distributing, or reselling purchased PDF courses; and using the Services only for lawful personal learning purposes.
9. PROHIBITED USES
You agree not to reproduce, copy, distribute, or resell any course content; share your account credentials or purchased downloads with third parties; use course content for commercial purposes without our prior written consent; attempt to circumvent any access controls or payment mechanisms; upload, post, or transmit any harmful, unlawful, or offensive content through our platform; or use our Services in any manner that could damage, disable, or impair our platform or servers.
10. SERVICE AVAILABILITY
Our platform is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free access at all times. We may temporarily suspend the Services for maintenance, updates, or technical issues and will endeavour to provide advance notice where possible.
11. DISCLOSURES AND DISCLAIMERS
11.1 Educational Information Only
All courses, guides, templates and other materials available on our website are provided for general educational and informational purposes only. They do not constitute medical, psychological, nutritional, financial, legal or other professional advice, and purchasing or using them does not create a professional-client relationship between you and us or any author.
11.2 Health, Fitness and Wellbeing
Some courses cover topics such as nutrition, exercise, sleep, supplements, hormonal health, stress and emotional wellbeing. This content is not a substitute for diagnosis, treatment or advice from a doctor or other qualified healthcare professional, and it is not intended to diagnose, treat, cure or prevent any disease or condition. Consult a qualified professional before changing your diet, starting an exercise programme or taking supplements, particularly if you are pregnant or breastfeeding, take medication, have a medical or mental health condition, or have a history of disordered eating. Stop any exercise that causes pain or discomfort. If you are in crisis or believe you may be in danger, contact your local emergency services immediately.
11.3 No Guarantee of Results or Earnings
Courses on business, marketing, sales, productivity and personal development describe methods and examples for illustration only. We do not promise or guarantee any particular outcome, including income, revenue, clients, followers, changes in weight or other personal results. Results depend on many factors outside our control, such as your effort, experience, circumstances and market conditions, and you may not achieve any results. Any figures or examples are illustrative and are not typical or expected results.
11.4 Accuracy and Currency of Information
We take reasonable care to ensure that our materials are accurate at the time of publication. However, information about software, online platforms, artificial intelligence tools, advertising rules and prices changes frequently, and some content may become outdated. We do not warrant that course content is complete, current or suitable for your particular circumstances.
11.5 Third-Party Tools, Platforms and Trademarks
Courses may refer to third-party products, platforms and services. Their names are used for identification and educational purposes only and remain trademarks of their respective owners. We are not affiliated with, sponsored by or endorsed by any of them, and references to them in our courses are not paid placements. Your use of third-party tools is subject to their own terms, policies and charges.
11.6 External Links
Where our website or materials link to third-party websites, those links are provided for convenience only. We do not control and are not responsible for the content, availability or practices of third-party websites.
11.7 Your Decisions and Statutory Rights
You remain responsible for your own decisions and for any actions you take on the basis of course content. Except as expressly stated in these Terms, our materials are provided “as is”, and to the extent permitted by law we exclude all implied warranties and conditions. Nothing in this section affects your statutory rights as a consumer, including your rights under the Consumer Rights Act 2015 in respect of digital content that is not of satisfactory quality, not fit for purpose or not as described.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or in connection with these Terms or the Services is limited to the amount you paid for the relevant course. We are not liable for any indirect, incidental, special, or consequential losses; loss of data or business opportunity; or losses arising from your use of downloaded course content. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot lawfully be excluded under the Consumer Rights Act 2015 or any other applicable UK legislation.
13. TERMINATION
We may suspend or close your account if you seriously breach these Terms or the Licence Agreement, engage in prohibited conduct or fraud, or attempt to misuse the Services. Except where we need to act immediately (for example, to stop fraud or the unauthorised distribution of course content), we will first tell you what the problem is and give you an opportunity to respond. If your account is closed for such a breach, your licence to use the affected course content ends as set out in Section 7 of our Licence Agreement, and download access ends with it. If your account is closed for any other reason, including at your request, the consequences are those described in Section 5.3. You remain bound by the provisions of these Terms that by their nature should survive termination, including intellectual property, limitation of liability, and governing law.
14. CHANGES TO TERMS
We may update these Terms at any time. Where changes are material, we will provide at least 14 days’ prior notice via email or a prominent notice on our website. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
15. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or in connection with these Terms or the Services, save that, if you are a consumer, you may also bring proceedings in the courts of the country where you live where mandatory consumer protection law allows. Before commencing any legal proceedings, we encourage you to contact us at info@omnislearn.com so that we can try to resolve the matter informally within 30 days. This is optional and does not affect your statutory rights, your right to bring proceedings, or your right to dispute a payment with your card issuer.
16. GENERAL PROVISIONS
These Terms, together with our Privacy Policy, Refund and Return Policy, Licence Agreement and Cookie Policy, constitute the entire agreement between you and MORVEX CORPORATION LIMITED in relation to the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in future. You may not assign your rights or obligations under these Terms without our prior written consent.
